OPERATION OF THE OUTLET
1.1 The Distributor shall render the Services of KpayIndia through its officers/employees. KpayIndia may modify the Services anytime.
1.2 Distributor shall only promote services expressly permitted by KpayIndia.
1.3 Distributor shall acquire necessary infrastructure (computer, GPRS device etc.) at own expense.
1.4 All services must be provided via KpayIndia portal; offline/fake transactions attract civil/criminal liability (IPC 1860).
1.5 All required licenses to be obtained by Distributor.
1.6 Outlet to remain open during business hours.
1.7 No obscene/unlawful material or activities.
1.8 KpayIndia may provide training/signage materials, used only for Services.
1.9 No encroachment upon neighbouring Distributor areas.

DEFINITIONS
2.1 "Applicable Law" includes RBI guidelines, Payment & Settlement Systems Act, etc. "Consumer", "Company Rules", "Intellectual Property" etc.

ACCEPTANCE & APPOINTMENT
3.1 Term commences from application form. 3.2 Distributor confirms evaluation of risks. 3.3 Appointed for outlet at given address (Salempur). 3.4 Termination possible with 1 month notice. 3.5 May describe as "authorised distributor" but not bind KpayIndia. 3.6 KpayIndia is facilitator only. 3.7 Not liable for service deficiency or tech interruptions.

PAYMENTS AND COMMISSIONS
4.1 Non‑refundable registration fee. 4.2 Working capital deposit (interest free). 4.3 Credit limit = working capital. 4.4 Commission adjusted daily; rate on portal. 4.5 Prices/discounts determined by KpayIndia. 4.6 Taxes payable by Distributor. 4.7 All operating costs borne by Distributor. 4.8 Minimum activity charges may apply. 4.9 KpayIndia may set off dues.

EMPLOYEES, EXCLUSIVITY, IP, CONFIDENTIALITY
5. Distributor liable for acts of employees. 6. Non‑compete: cannot offer similar services or solicit KpayIndia employees. 7. No IP license; cannot misuse logo/ trademark. 8. Confidentiality: keep all information secret; secure user id/password; liable for fraud from own id.

WARRANTIES, REPRESENTATIONS, INDEMNITY
9. Distributor shall cooperate, promote, comply with laws, maintain records. 10. Representations of authority. 14. Indemnify KpayIndia against claims due to distributor’s negligence, misconduct, IP breach, etc.

MISCELLANEOUS
11. Governing law: Indian law, Aurangabad jurisdiction. Arbitration in New Delhi. Non‑exclusive appointment. Force majeure. Injunctive relief. Relationship principle‑toprinciple. Notices, assignment prohibited without consent. Severability.
12. Change in distributor (death/partnership) requires KpayIndia consent.
13. Termination: 30 days’ notice; immediate for cause (breach, reputation damage, insolvency). Upon termination: return all materials, remove signage, cease use.
15. Declaration: Distributor confirms information correct, no cash paid to employee, exclusively work with KpayIndia, accept communication (SMS/voice). Also agrees to check website for updates. Working limit after cash deposit to be confirmed within two hours – distributor responsibility. Display rate list, no overcharging. Tax compliance.

KpayIndia shares sensitive or private confidential data or information with an external organization only when it is necessary to enable us to provide the services to business associates and users. We may also share the information when it is necessary for us to do so for completing a legitimate transaction, for reporting purposes (required or necessary under the terms and conditions applicable to the information), and/or because of the applicability of the law. In no other scenario shall we share the confidential and personal data and information of our users and business associates. The information of the business associates and users will be shared when it is required or permitted by law.

Observation and Implementation of Reasonable Security Practices

KpayIndia undertakes the necessary and reasonable precautions for maintaining the confidentiality and privacy of data and information of our users as well as business associates. For the purpose, we provide restricted access to persons who may be required to assess the data and information (on a need to know basis). We also provide the necessary training to our employees for ensuring safe and proper handling of data.
